This Mobile Application End User License Agreement ("Agreement") is a binding agreement between you ("End User" or "you") and Together Transit ("Together Transit," "Corners Outreach," "us," or "we"). This Agreement governs your use of the Together Transit App, including all related documentation (the "App"). The App is licensed, not sold, to you.
BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU:
(A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT;
(B) REPRESENT THAT YOU ARE 18 YEARS OF AGE OR OLDER; AND
(C) ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE APP.
1. License Grant and Restrictions
a. License Grant. Subject to the terms of this Agreement, Together Transit grants you a royalty-free, limited, non-exclusive, and nontransferable license to:
Download, install, and use the App for your personal, non-commercial use on a single mobile device owned or otherwise controlled by you ("Mobile Device") strictly in accordance with the App's documentation; and
Access, stream, download, and use on such Mobile Device the Content and Services (as defined in Section 5) made available in or otherwise accessible through the App, strictly in accordance with this Agreement.
b. License Restrictions. You shall not:
Copy the App, except as expressly permitted by this license;
Modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the App;
Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the App or any part thereof;
Remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the App, including any copy thereof;
Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the App, or any features or functionality of the App, to any third party for any reason, including by making the App available on a network where it is capable of being accessed by more than one device at any time;
Remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting the App; or
Use the App in, or in association with, the design, construction, maintenance, or operation of any hazardous environments or systems, safety-critical applications, or emergency response systems.
c. Reservation of Rights. You acknowledge and agree that the App is provided under license, and not sold, to you. You do not acquire any ownership interest in the App under this Agreement. Together Transit and its licensors retain their entire right, title, and interest in and to the App, including all intellectual property rights. The Together Transit name, logo, and related marks are trademarks of Together Transit, Corners Outreach, or its licensors. You must not use such marks without prior written permission.
d. Collection and Use of Your Information. All information we collect through or in connection with this App is subject to our Privacy Policy (Part 2 below). By downloading, installing, using, and providing information to or through this App, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.
e. Content and Services. The App may provide you with access to Together Transit's website located at www.togethertransit.org (the "Website") and products and services accessible thereon. Your access to and use of such Content and Services are governed by the Website's Terms of Use and Privacy Policy.
f. Geographic Restrictions. The Content and Services are based in the State of Georgia in the United States and provided for access and use only by persons located in the United States. If you access the Content and Services from outside the United States, you are responsible for compliance with local laws.
g. Updates. Together Transit may from time to time develop and provide App updates, bug fixes, or feature enhancements ("Updates"). You agree that Together Transit has no obligation to provide any Updates or to continue to enable any particular features. You agree to promptly download and install all Updates.
2. Third-Party Services, Communications, and Fees
a. Third-Party Materials. The App may display, include, or make available third-party content or links to third-party websites or services ("Third-Party Materials"). Together Transit is not responsible for Third-Party Materials, including their accuracy or validity, and you access them entirely at your own risk.
b. Text Messaging. By using the App or providing us with your mobile phone number, you agree that we may communicate with you regarding Together Transit by SMS, MMS, text message, or electronic means. Standard text message and data rates may apply. You may stop receiving text messages by contacting us at info@togethertransit.org] or calling Customer Service at 770-403-7492. Opting out may impact your ability to use the App.
c. Mobile Device Access. You are responsible for obtaining the data network access necessary to use the App. Standard network charges and data rates apply.
d. Apple-Enabled App. If you access the App on an Apple iOS device, Apple, Inc. and its subsidiaries are third-party beneficiaries to this Agreement and have the right to enforce its terms against you.
e. Charges and Payments. You understand that you may incur charges for services received through the App ("Charges"). Together Transit will receive and/or enable your payment of applicable Charges. Charges may be paid by credit card. You represent that any payment information you provide is true and correct.
3. Term, Liability, and Legal Provisions
a. Term and Termination. The term commences when you download/install the App and continues until terminated by you (by deleting the App) or Together Transit. Together Transit may terminate this Agreement at any time without notice if it ceases to support the App or if you violate any terms.
b. Disclaimer of Warranties. THE APP IS PROVIDED "AS IS" AND WITH ALL FAULTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOGETHER TRANSIT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
c. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TOGETHER TRANSIT, CORNERS OUTREACH, OR ITS AFFILIATES AND LICENSORS BE LIABLE FOR PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, OR INDIRECT/CONSEQUENTIAL DAMAGES. DIRECT DAMAGES SHALL NOT EXCEED THE AGGREGATE AMOUNT ACTUALLY PAID BY YOU FOR THE APP.
d. Indemnification. You agree to indemnify, defend, and hold harmless Together Transit, Corners Outreach, and their officers, directors, employees, and agents from any losses, damages, liabilities, and expenses (including attorneys' fees) arising out of your use or misuse of the App or breach of this Agreement.
e. Governing Law. This Agreement is governed by and construed in accordance with the internal laws of the State of Georgia, without giving effect to conflict of law principles. Any legal suit or proceeding shall be instituted exclusively in the federal or state courts located in Georgia.
f. Limitation of Time to File Claims. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE APP MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, IT IS PERMANENTLY BARRED.
